End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you and New School Foods ("New School Foods", "we", "us") governing your access to and use of the NS/TX application and its related services (the "Software"). By accessing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not access or use the Software.

1. License grant

Subject to your compliance with this Agreement, New School Foods grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for New School Foods' internal business operations and only as authorized by New School Foods.

2. Restrictions

You will not, and will not permit others to:

access or use the Software except as expressly authorized;
copy, modify, distribute, sell, or lease any part of the Software;
reverse engineer, decompile, or attempt to extract the source code, except to the extent this restriction is prohibited by law;
circumvent or interfere with any security, authentication, or rate-limiting features;
use the Software to store or transmit unlawful, infringing, or harmful material.

3. Accounts and security

Access is granted to authorized users only. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Intellectual property

The Software, including all associated intellectual property rights, is and remains the exclusive property of New School Foods and its licensors. This Agreement grants you no rights other than the limited license expressly stated.

5. Third-party services

The Software integrates with third-party services, including Intuit QuickBooks Online and Google authentication, to provide certain features. Your use of those services is subject to their respective terms and privacy policies. New School Foods is not responsible for third-party services.

6. Disclaimer of warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, New School Foods will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Software.

8. Termination

New School Foods may suspend or terminate your access to the Software at any time. Upon termination, the license granted to you ends and you must cease all use of the Software.

9. Changes

We may update the Software and this Agreement from time to time. Changes are effective when the updated Agreement is posted at this URL. Your continued use of the Software constitutes acceptance of the updated Agreement.

10. Governing law

This Agreement is governed by the laws applicable to New School Foods' principal place of business, without regard to conflict-of-laws principles.
